Dear KeyPal hardware wallet users:

Thank you for choosing our KeyPal digital currency hardware wallet ("KeyPal"). The KeyPal License Agreement ("Agreement") is entered into by and between KEYPAL ("Company" or "KEYPAL") and you (hereinafter referred to as "User"). ("KEYPAL" or "User"), and this Agreement shall have the legal effect of a contract between you and KEYPAL. In this Agreement: (1) "we" means the Company and "our" shall be construed accordingly; and (2) "you" means the User and "your" shall be construed accordingly. " shall be construed accordingly. You and the Company shall be referred to individually as a "Party" and collectively as the "Parties". This Agreement includes the text of this Agreement and all rules and regulations that have been published on this Site or may be published or updated in the future, all of which are an integral part of this Agreement and have the same legal effect as the text of this Agreement. Users are advised to read and choose carefully whether to accept or not to accept the content of this Agreement and the various rules to which it relates (minors are not eligible for this User Agreement).

Your use of KeyPal will be subject to the terms and conditions of this Agreement, whether you acquire KeyPal from us or our affiliates. We would like to remind you to read this Agreement and the related agreements mentioned later before using our KeyPal, especially the bolded clauses in this Agreement such as "Disclaimer and Limitation of Liability", to ensure that you fully understand the terms and conditions of this Agreement and consider the risks yourself.

1. Confirmation and acceptance of this Agreement

1.1 By using KeyPal, you are deemed to have fully read and accepted the terms of this Agreement in its entirety, and this Agreement shall take effect immediately and be binding on both parties. If you do not agree to the terms of this Agreement, you shall immediately cease the aforementioned use.

1.2 By using KeyPal, you agree to.

1.2.1 be bound by the most recent version of this Agreement (as last changed and last modified).

1.2.2 you are of legal age in the jurisdiction of the country or region to which you apply, have full civil capacity to use the Site, purchase goods and enjoy services on the Site network, and undertake to assume corresponding legal responsibility for the relevant actions, and have the obligation to be self-binding and to assume the legal constraints and the ability to control the risks of your assets arising from the use of KeyPal; if you are in a If you are in a jurisdiction where the use of the product or service is in violation of the relevant laws and regulations, please stop using, browsing or purchasing the services on this site immediately.

1.2.4 you are not a prescribed excluded person (as defined in this Agreement).

1.3 The Company may update the content of this Agreement at any time and the amended Agreement shall automatically take effect immediately upon publication on the Company's official website without further notice to the User. If you do not accept our revised terms and conditions, you should immediately stop using the KEYPAL website and purchasing products or services, otherwise you will be deemed to have accepted the revised agreement.

2. Definitions

2.1 KeyPal: means a blockchain-based digital pass-through hardware wallet of the Company.

2.2 Excluded Person.

2.2.1 A person, other than a natural person of full civil capacity, who does not have the capacity to independently enter into and accept the contents and consciousness of this Agreement.

2.2.2 Users who are prohibited, restricted, unauthorised or ineligible to use the KEYPAL Website in any form or manner (in whole or in part) as a result of regulatory requirements or the laws and regulations of the jurisdiction applicable to such User.

2.3 PIN code: means the PIN code that you are prompted to fill in on the KeyPal operator interface during the process of creating or restoring your KeyPal hardware wallet. This PIN is determined by you and consists of the numbers 0-9, is 6-8 digits in length and will be used to encrypt and protect your helper and hardware wallet.

2.4 Private Key: Composed of 256 random characters, it is proof of the user's assets to own and use the digital passwords.

2.5 Token: Consists of 12 (or 15/18/21/24) ordered words generated by a random algorithm. It is a simple record representation of the private key, which is convenient for the user to backup and keep.

2.6 Developer User: A user who uses the functions provided for developers such as the open source code of the software in KeyPal (if any) in accordance with our company's notice and the provisions of the relevant open source agreement.

3. User rights and obligations

3.1 You shall comply with the laws and regulations of the country or region in which you reside and shall not use KeyPal for any illegal purpose or obtain and use KeyPal through any illegal channels and means.

3.2 Developer users have the right to use KeyPal's software open source code (if any) published by our company on official channels for secondary development of applications, and to download and use any patches or vulnerability solutions released by our company for KeyPal's software open source code.

3.3 In using KeyPal's software open source code (if available), the Developer User is aware of and agrees that

3.3.1 if the Developer User discovers any vulnerabilities, defects or software improvement solutions in the course of using KeyPal's software open source code, he/she shall promptly contact and inform the Company and cease any harmful use (if applicable).

3.3.2 KeyPal's software open source code may contain third party open source protocols and source code, and our company does not provide any form of guarantee for the functionality, lack of virus hazards, lack of vulnerabilities, etc. of such third party open source protocols and source code. Developer users should use their own judgment and evaluate the consequences of using KeyPal's software open source code. Developer Users should carefully read and follow the requirements of the relevant open source software agreements and notices made by us from time to time.

3.4 You should purchase and use KeyPal from our official channel (KeyPal.pro); if you obtain KeyPal from a source that is not legally authorised, we cannot guarantee the proper use or effective provision of KeyPal or its security, and you will be responsible for any losses incurred as a result.

3.5 You must not import, export, sell or transfer KeyPal in a manner that is illegal or unlawful and you undertake that our delivery of KeyPal to you through official channels does not violate the requirements of applicable laws and regulations.

3.6 You understand and agree that you shall indemnify us, including but not limited to our financial losses, reasonable attorneys' fees, and court costs, if we suffer any loss, claim by any other party, or penalty by any administrative authority as a result of your violation of relevant laws (including but not limited to regulatory provisions on customs and/or taxation) or the provisions of this Agreement.

4. Risk Warning

4.1 KeyPal is a digital pass-through hardware wallet, as distinct from the electronic cryptographs provided by banking and financial institutions. The user understands and accepts that blockchain technology will be subject to the technical requirements of the hardware wallet and that the Company does not and cannot assume responsibility for

4.1.1 retrieving the user's PIN, private key or mnemonic.

4.1.2 Freezing of the KeyPal hardware wallet.

4.1.3 the loss of the KeyPal hardware wallet

4.1.4 Rollback of transactions.

4.2 You are responsible for the safekeeping of KeyPal and mobile devices, PIN codes, private keys and mnemonics. We are not responsible for keeping the above information for our users. You shall bear all risks, liabilities, losses and expenses arising from the loss of your KeyPal or mobile device, active or passive disclosure, forgetting of PIN codes, private keys and mnemonics, or being attacked or defrauded by others.

4.3 You acknowledge and agree that when you return, exchange, transfer, discard, or no longer use KeyPal, please reset and clear all data in KeyPal in a timely manner, otherwise the user shall be responsible for the corresponding consequences.

4.4 Please transcribe the helper word to the helper word card when you create KeyPal and keep it in a safe place to avoid leakage, and do not record the helper word in any networked device. If you take a photo of your KeyPal on your mobile phone or store it in an online environment, your KeyPal is still at risk of loss or theft of your digital pass assets. In the event of damage, loss or theft of your KeyPal, you can recover your KeyPal hardware wallet on a new KeyPal device using the helper word.

4.5 You are aware and agree that older versions of KeyPal may not be available due to factors such as the type and version of software wallets KeyPal is docked to. Users are requested to check the category and version of the software wallet at all times and to purchase the appropriate version of the KeyPal hardware wallet.

5. Exclusion and limitation of liability

5.1 We are only liable for the obligations set out in this Agreement.

5.2 You understand and agree that, to the fullest extent permitted by law, we can only provide KeyPal to the extent that the technology is available and that we will not be liable for any failure of the user to use KeyPal for any reason other than our own.

5.3 You understand that KeyPal is only intended as an aid to the management of your digital pass assets and is used in conjunction with the software wallet. We have no control over the quality, safety or legality of the products and services provided by third parties, the truth or accuracy of the information, or the ability of the other party to fulfil its obligations under the agreement with you. You decide whether to operate or transact with a third party and all risk arising from your operation or transaction with any third party shall be borne by you.

5.4 The Company makes no representations or warranties of any kind, express or implied, including but not limited to

5.4.1 that the KeyPal provided by us will meet all of your requirements; or

5.4.2 that any action you take through our KeyPal will meet your expectations; or

5.4.3 the timeliness, accuracy, completeness and reliability of the data and information you obtain from third parties in the course of your use of KeyPal.

5.5 in any event, our total liability under this Agreement will not exceed the total amount of orders paid by the party to us in the most recent financial year.

6. Other Terms

6.1 KeyPal is a digital pass-through hardware wallet developed and owned by the Company, its affiliates and partners, and the intellectual property rights in the KeyPal hardware, software and any content displayed therein (including materials, trademarks or logos) belong to the Company, its affiliates or third party rights holders. Users may use the KeyPal hardware, software and the content therein only for the purposes set forth in this Agreement. No one may use, modify, reverse compile, reproduce, publicly transmit, alter, distribute, distribute or publicly publish the aforementioned intellectual property rights (including the KeyPal software open source code), or copy or reproduce KeyPal's trademarks, logos, user interfaces or designs without the prior written consent of our company, our affiliates or third party rights holders (or the permission of the relevant open source agreement). etc. This Agreement shall not be deemed to grant you any intellectual property rights, including the right to use any information, images, user interfaces, logos, trademarks, trade names, web domains or copyrights relating to us or KeyPal for any purpose.

6.2 Any failure by us to enforce this Agreement or to assert our rights, claims or causes of action against you under this Agreement shall not be deemed to be a waiver of our right to assert any right, claim or cause of action against you.

6.3 Subject to the terms of this Agreement, only you (and no one else) will have the right to assert claims against us in connection with the use of KeyPal. You may not assign, trade, or attempt to assign or trade, your rights in respect of such claim. Any such assignment will be void and we will have no obligation or liability to the assignee.

6.4 Full Agreement.

6.4.1 The Entire Agreement consists of the KEYPAL User Agreement, the KEYPAL Privacy Policy, the KeyPal Usage License Agreement and various notices and rules published by us from time to time.

6.5 Please refer to the announcements and notices on our company's official website for KeyPal's taxes, delivery services, after-sales policies, etc.

6.6 Application of Law and Dispute Resolution.

- Need a lawyer's help to supplement 6.6.1 The laws applicable in the mainland of the People's Republic of China (but excluding its conflict of laws rules and regulations) shall apply to the conclusion, change, execution and interpretation of this Agreement and the resolution of disputes. In the absence of express legal provisions on a particular matter relating to this Agreement, reference shall be made to common international commercial practice and industry practice.

- 6.6.2 In the event of a conflict between this Agreement and applicable law, these provisions shall be construed in full in accordance with the provisions of the law and the other valid provisions shall remain in force. In the event of any dispute between the Parties concerning the contents of this Agreement or its implementation, the Parties shall endeavour to settle the matter amicably; in the event of failure to do so, either Party may bring proceedings before a court of competent jurisdiction in the mainland of the People's Republic of China where Limited is located.

6.8 Independence and partial invalidity.

6.8.1 If any part of this Agreement is held to be invalid, illegal or unenforceable by any legislation governing this Agreement, it shall be deemed invalid, illegal or unenforceable only to that extent (and without further extension). For the avoidance of doubt, the remainder of this Agreement shall continue in force and remain in full force and effect.

6.8.2 The fact that any provision of this Agreement is held to be illegal, invalid or unenforceable under the law of any jurisdiction shall not affect the lawfulness, validity or enforceability of that provision under the law of any other jurisdiction or the legality, validity or enforceability of the other provisions of this Agreement.

6.9 Any translation of this Agreement (if any) is provided for the convenience of users only and is not intended to modify the English version of this Agreement. In the event of a conflict between the English version and a non-English version of this Agreement, the English version shall prevail.

6.10 You should fully understand and comply with all laws, regulations and rules of your jurisdiction relating to the use of KeyPal.

6.12 All users can view this Agreement and its updated version on our website. We encourage you to review this Agreement each time you visit our website.

6.13 This Agreement is effective as of 19 July 2021.

You are subject to the Company's announcements and related rules as updated from time to time for matters not covered by this policy.

2. Definitions

2.4 Personal information: means all kinds of information recorded electronically or otherwise that can identify a user individually or in combination with other information, including but not limited to a natural person's name, date of birth, identity document number, personal biometric information, address, telephone number, bank card number, email address, wallet address, mobile device information, operation records, transaction records, etc., but does not include a user's PIN, private key and mnemonic.

2.5 Third party: refers to third party payment platforms, third party digital pass wallets, third party DApps, third party smart contracts, etc.

3. User rights and obligations

3.1 You shall comply with the laws and regulations of the country or region in which you reside and shall not use the KEYPAL website, products, services, etc. for any unlawful purpose or use the KEYPAL website in any unlawful manner.

3.2 When you purchase and use products, services and participate in activities through the KEYPAL website, you shall provide detailed, true and accurate information to the KEYPAL website, which shall be updated and maintained from time to time. If you do not do so, you shall be responsible for any adverse consequences and the corresponding liability.

3.3 You shall pay the Company for the goods purchased or the corresponding service fees as incurred. When you use third party products or services, the aforementioned entities may charge you handling and/or service fees, which are subject to the amount charged by the third party and are not covered by the payment for the products or the corresponding service fees displayed on the KEYPAL website. You should pay attention to the authenticity of the information on third party fees and the precautions to be taken to avoid unnecessary financial losses due to false information at a later stage.

3.4 You shall not use the KEYPAL website to engage in any illegal or criminal conduct, including but not limited to

3.4.1 transmitting or publishing statements that incite resistance to, or undermine the implementation of, the Constitution and laws and administrative regulations, or overthrow the socialist system, endanger the national security of the country or region in which you reside, leak state secrets, subvert state power, undermine national unity, or publish statements that incite ethnic hatred, ethnic discrimination or undermine national unity

3.4.2 engage in any illegal or criminal acts, including but not limited to money laundering, illegal fund raising, theft of personal information, etc.

3.4.3 interfering or attempting to interfere with any user by using any automated programs, software, engines, web crawlers, web analytics tools, data mining tools or similar tools, etc., to access our systems, collect or process the content provided by us.

3.4.4 providing gambling information or in any way inducing others to participate in gambling

3.4.5 use the KEYPAL website for profit-making business activities.

3.4.6 engage in any conduct that infringes or may infringe the systems, data of the KEYPAL website.

3.4.7 transmit or publish any illegal, criminal, harassing, defamatory, abusive, threatening, hurtful, vulgar, obscene or uncivilized information material.

3.4.8 any other conduct that we have reasonable grounds to believe is inappropriate.

3.5 You understand and agree to follow the information tips published by the Company on the KEYPAL Website and to operate in accordance with the contents of the information tips, otherwise, all risks, liabilities, losses and expenses arising therefrom shall be borne by you. You shall from time to time pay attention to and comply with the various legal rules and regulations published or amended from time to time on this website. The Company reserves the right to delete all types of information content on the Site that is not in accordance with legal policies or untrue without notice to the User.

3.6 When required by relevant laws and regulations or when deemed necessary by the Company or this Agreement (including, but not limited to, abnormal transaction behavior of a specific user or abnormal or suspicious identity at the time of transaction), a specific user shall, when using the KEYPAL website, promptly improve relevant information or verification in accordance with the information prompts on the KEYPAL website and submit, including but not limited to, name, ID number, mobile phone number and other relevant information. 3.7 You should purchase and use our products and services from our official channels (KeyPal.pro). If you obtain our products or services from a source that is not legally authorised, we cannot guarantee the proper use or effective provision of such products or services, or their security, and you will be responsible for any losses incurred as a result.

3.8 You must not import, export, sell or transfer our products or services in a manner that is illegal or unlawful and you undertake that our delivery of products or provision of services to you through official channels does not violate the requirements of the laws and regulations of your jurisdiction.

3.9 You understand and agree that you shall indemnify us for any losses, claims by any other party or penalties imposed by any administrative authority, including but not limited to our financial losses, reasonable attorneys' fees, litigation costs, if you directly or indirectly cause us to suffer any loss as a result of your violation of relevant laws (including but not limited to customs and/or tax regulations) or the provisions of this Agreement.

4. Rights and obligations of the KEYPAL website

4.1 To provide users with an online shopping platform and pre-sales and after-sales services.

4.2 We will do our best to ensure that the prices of the products you purchase are consistent with those published on the KEYPAL website, but the price lists and statements do not constitute an offer, but only an invitation to offer, and your order is an offer to order products. KEYPAL website reserves the right to unilaterally withdraw any of our commitments in the event of obvious errors or out-of-stocks in the products and orders displayed on the website. 4.5 We will deliver the goods by post to the location specified in your order details. The delivery times listed on our website are indicative and are subject to weather conditions, stock levels and delivery locations, so please note that delivery times may vary slightly. You will be responsible for any losses resulting from delays or failure to deliver your order properly if.

(1) Where the delivery information you have provided is incorrect or not detailed enough.

5. Changes, interruptions and termination of the KEYPAL Website Services

5.1 You acknowledge and agree that we may, at our sole discretion, suspend the provision of some features of the KEYPAL Website Services, or suspend some features of the Services or introduce new features of the Services in the future. By using the KEYPAL Website, you agree to the terms of this Agreement or any amendments to this Agreement, as long as you continue to use the KEYPAL Website when we change the Services.

5.2 You understand that we will suspend the KEYPAL Website Services (or terminate them completely) if

5.2.1 the operation of the KEYPAL Website is interrupted for technical reasons such as equipment, blockchain system maintenance, upgrades, failures and communication disruptions

5.2.2 where the Company is unable to provide the Services or where the Company reasonably believes that there is a greater risk of continuing to provide the Services due to force majeure factors such as typhoons, earthquakes, tsunamis, floods, power outages, war or terrorist attacks, computer viruses, Trojan horses, hacker attacks, system instability or government action

5.2.3 the occurrence of a material adverse change in applicable law or policy

5.2.4 the occurrence of other circumstances beyond the Company's control or reasonably foreseeable.

5.3 The Company may unilaterally suspend or terminate the User's use of some or all of the functions of the KEYPAL Website when the User

5.3.1 provides false personal information to the Company.

5.3.2 uses the KEYPAL website for illegal or criminal activities.

5.3.3 Interfering with the normal use of the KEYPAL website by other users.

5.3.4 Falsely claiming to be a member of our staff or management.

5.3.5 attacking, intruding into, altering or in any other way threatening the proper functioning of our computer systems.

5.3.6 using the KEYPAL website to promote spamming.

5.3.7 spreading rumours that damage the reputation of the Company and the KEYPAL website, products or service providers.

5.3.8 any violation of the law or other breach of this Agreement and any circumstances which in the reasonable opinion of the Company warrant suspension of functionality.

5.4 You acknowledge and agree that, in addition to suspension or termination of the Services, in the circumstances set out in clause 5.3 above, the Company shall have the right, at its sole discretion and depending on the severity of the circumstances, to choose one or more of the following methods of treatment.

5.4.1 A warning.

5.4.2 A limited period of time to rectify the situation.

5.4.3 Cancellation of the order.

5.4.4 prohibition of trading.

5.4.5 permanent prohibition from using the KEYPAL website, purchasing our products or services.

5.4.6 the use of litigation or non-litigious means to claim compensation from the user.

5.4.7 Notification, agreement with the relevant governmental authorities to enforce the law.

6. Privacy Policy

6.1 Any data or information you provide to us is also subject to our privacy policy ("KEYPAL Privacy Policy"), which is also part of this Agreement.

7. Exclusion and limitation of liability

7.1 We shall only be liable for the obligations set out in this Agreement.

7.2 You understand and agree that, to the maximum extent permitted by law, we can only provide the KEYPAL website, products and services to the extent that the technology is available and under the conditions. The Company shall not be liable for any failure of the User to use the KEYPAL Website, Products and Services properly for any of the following reasons.

7.2.1 for your own reasons (including, but not limited to, delayed delivery or non-delivery of orders caused by your failure to tick the KEYPAL Website delivery instructions, providing incorrect delivery information, no one signing for the order, etc.)

7.2.2 downtime or upgrade of the KEYPAL website system for maintenance.

7.2.3 force majeure reasons such as typhoons, earthquakes, floods, lightning or terrorist attacks.

7.2.4 the failure of your mobile device's hardware and software and communication lines and power supply lines

7.4 Method of Payment.

7.4.1 you acknowledge and agree that the payment methods, payment limits and number of payments you may make on the KEYPAL Website may vary or be limited depending on the country/region in which you are using the payment method, regulatory requirements, the purpose of the payment, the KEYPAL Website risk controls, identity verification and other matters.

7.4.2 You acknowledge and agree that, due to the "irrevocable" nature of blockchain operations, when you use a third party payment method on the KEYPAL Website, you shall be solely responsible for the consequences of your failure to do so (including, but not limited to, if you have entered the wrong payment address, if there is a problem with your own choice of transfer node server, if you have mistakenly clicked on the confirmation option).

8.7 Independence and partial invalidity.

8.7.1 Where any part of this Agreement is held to be invalid, illegal or unenforceable by any legislation governing this Agreement, it shall be deemed invalid, illegal or unenforceable only to that extent (and without further extension). For the avoidance of doubt, the remainder of this Agreement shall continue in force and remain in full force and effect.

8.7.2 The fact that any provision of this Agreement is held to be illegal, invalid or unenforceable under the law of any jurisdiction shall not affect the lawfulness, validity or enforceability of that provision under the law of any other jurisdiction or the legality, validity or enforceability of the other provisions of this Agreement.

8.8 Any translation of this Agreement (if any) is provided for the convenience of users only and is not intended to modify the English version of this Agreement. In the event of a conflict between the English version and a non-English version of this Agreement, the English version shall prevail.

8.9 You should fully understand and comply with all laws, regulations and rules in your jurisdiction relating to the use of KeyPal.

For the avoidance of doubt, the remainder of this Agreement shall continue in force and remain in full force and effect.

8.7.2 The fact that any provision of this Agreement is held to be illegal, invalid or unenforceable under the law of any jurisdiction shall not affect the lawfulness, validity or enforceability of that provision under the law of any other jurisdiction or the legality, validity or enforceability of the other provisions of this Agreement.
